Agreement between User and Alttagger B.V.
Welcome to Alttagger. These Terms and Conditions ("Terms") constitute a legal agreement between you and Alttagger B.V., a private limited liability company incorporated under the laws of the Netherlands, with its registered office at Van Ittersumstraat 95, 8012TJ, Zwolle, and registered with the Dutch Chamber of Commerce under number 96473703.
The Alttagger website (the "Site") and the services it provides (the "Service") consist of various web pages, APIs, application integrations, and tools designed to generate and manage alt text for images on websites. The Site and the Service are operated by Alttagger B.V. These Terms govern your access to and use of the Service.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
These Terms do not alter the terms or conditions of any other written agreement you may have with Alttagger B.V. If you are using the Service on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on the entity's behalf and that the entity agrees to be responsible to Alttagger B.V. if you violate these Terms.
Visiting Alttagger or sending emails to Alttagger B.V. constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.
To access certain features of the Service, you must create an account. You agree to:
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may not assign or otherwise transfer your account to any other person or entity without expressed written consent from Alttagger B.V.
Alttagger B.V. reserves the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion. Alttagger B.V. does not knowingly collect personal information from persons under the age of sixteen. If you are under 18, you may use the Service only with permission of a parent or guardian.
The Service enables you to generate and manage alt text for images on websites using artificial intelligence technology. The Service includes image crawling, alt text generation, alt text management, and related tools.
The Service utilizes artificial intelligence models to generate alt text for images. You acknowledge that alt text is generated by AI based on Large Language Models, and therefore may contain inaccuracies or errors. You agree to review all generated alt text for correctness and make any necessary adjustments using the alt text editor provided in the platform.
Alttagger uses advanced techniques to find images on websites, but cannot guarantee that all images will be discovered. You acknowledge and agree that some images may not be detected by the Service.
Alttagger may cache content delivered via browsers to improve performance. You agree that Alttagger B.V. has the right to cache such content for performance optimization purposes.
You represent and warrant that you either own all images you submit to the Service or have the necessary permissions to use them with the Service. You retain all rights to the images you submit to the Service.
You agree that you are obligated to review all AI-generated alt text for accuracy and appropriateness, and to make any necessary corrections using the alt text editor provided by the Service. Because you have the ability to modify the alt text generated by the Service, you agree that you are fully responsible for the final alt text used on your website(s). You agree to regularly check the alt text for accuracy.
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Specifically, you agree not to:
If you violate these restrictions, Alttagger B.V. reserves the right to terminate your access to the Service without refund or compensation, and you may be subject to legal action.
Payments for the Service are processed by Paddle, which acts as the merchant of record for Alttagger B.V. Your use of Paddle's payment processing services is subject to Paddle's terms and conditions and privacy policy, which you must accept separately.
Details of subscription plans and pricing are available on the Site. Alttagger B.V. reserves the right to change pricing at any time, with notice to existing subscribers. Subscriptions can be canceled at any time, but no refunds will be provided for the current billing period.
If the service does not function on your domain, despite compatibility having been previously checked and confirmed by Alttagger B.V., you may request a refund for the billing period in which the issue was identified. It is your sole responsibility to verify the compatibility of the service after setup and to continuously monitor compatibility after any changes to your website’s source code.
Alttagger B.V. does not offer refunds for any unused credits or unused portions of a subscription. However, if you are not satisfied with the Service, you can cancel your subscription at any time.
Alt text generations included in monthly subscription fees that are not used within the billing period cannot be exchanged for money, credited to future periods, or otherwise refunded.
After two failed payment attempts, Alttagger B.V. reserves the right to suspend or terminate your access to the Service without notice.
Alttagger B.V. reserves all rights not expressly granted in these Terms. You are not granted any rights in or to the Service by implication, estoppel, or other legal theory, and all rights in and to the Service not expressly granted in these Terms are hereby reserved and retained by Alttagger B.V.
Alttagger B.V. reserves all right, title, and interest to and in all information, materials, and content related to the Alttagger platform, including but not limited to text, graphics, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, source and object code, format, queries, algorithms, and other content (collectively "Alttagger Material").
Alttagger Material is protected in all forms, media, and technologies now known or later developed. The Alttagger name, logos, and related trademarks are the property of Alttagger B.V. and may not be used without prior written permission.
Subject to your ongoing compliance with these Terms, Alttagger B.V. grants you a personal, limited, revocable, non-transferable right to access and utilize the Service solely as permitted by these Terms. Should Alttagger B.V. release enhancements, updates, or new features to the Service, your use of such improvements will be governed by these Terms unless separate terms are provided with the update, in which case those terms will apply.
When using our Service, you agree to operate within certain boundaries. Without express written permission from Alttagger B.V., the following activities are prohibited:
Violation of these boundaries may result in immediate termination of your access privileges and could expose you to legal consequences, including potential liability for damages to Alttagger B.V.
You retain all rights to the images and other content you submit to the Service. However, you grant Alttagger B.V. a limited, non-exclusive license to use, store, process, modify, and display your content solely for the purpose of providing the Service to you.
You own all alt text generated through your use of the Service, provided that you comply with these Terms. However, you acknowledge that the alt text is created using artificial intelligence models which are the property of Alttagger B.V. or its service providers.
When you provide suggestions, ideas, feature requests, or other input regarding the Service ("Input"), you assign to Alttagger B.V. all intellectual property rights in that Input. To be clear, this does not include the actual content you upload to use the Service as intended. Any Input you share becomes the exclusive property of Alttagger B.V., who may use it for any purpose without providing compensation or attribution. By submitting Input, you waive all claims to it, including moral rights or attribution rights.
Please refrain from sending Input if you wish to maintain ownership or expect compensation. Additionally, Alttagger B.V. may disclose your identity if your Input allegedly violates others' rights. You should never submit Input that is unlawful, defamatory, or violates any agreement you have with others.
The Service may incorporate or reference third-party tools, resources, or content. Any interaction with such external elements, including any agreements or guarantees associated with them, exists solely between you and those third parties. Alttagger B.V. bears no responsibility for issues arising from these external relationships or for any consequences resulting from your use of third-party materials accessed through our Service.
To maintain a safe, legal, and positive environment, you agree not to upload, submit, or otherwise introduce to the Service (without prior written authorization from Alttagger B.V.):
While Alttagger B.V. maintains the right to review and restrict content that violates these guidelines, we do not assume an obligation to proactively monitor all uploads. You remain responsible for maintaining your own backups and ensuring your content adheres to these standards.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALTTAGGER B.V. DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THESE TERMS, THE SERVICE, AND RELATED MATERIALS, WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONDITION OF TITLE.
PLEASE BE AWARE THAT THE SITE AND SERVICE MAY OCCASIONALLY CONTAIN ERRORS, INCONSISTENCIES, OR TYPOGRAPHICAL MISTAKES. ALTTAGGER B.V. REGULARLY UPDATES AND MODIFIES THE SITE'S CONTENT AND FEATURES WITHOUT PRIOR NOTIFICATION. WE RESERVE THE RIGHT TO IMPLEMENT IMPROVEMENTS OR ALTERATIONS TO THE SERVICE AT OUR DISCRETION.
ALTTAGGER B.V. OFFERS NO GUARANTEES REGARDING THE APPROPRIATENESS, DEPENDABILITY, CONTINUOUS AVAILABILITY, PROMPTNESS, OR PRECISION OF THE SITE'S CONTENT, FEATURES, OR RELATED RESOURCES FOR YOUR PARTICULAR NEEDS OR PURPOSES.
ALTTAGGER B.V. DOES NOT WARRANT THAT:
Alttagger B.V. specifically disclaims any guarantee of improved rankings in Google or other search engines. You understand that indexing of alt text by external services depends on the technology of those external services, which may change over time. Alttagger B.V. cannot provide guarantees regarding search engine optimization benefits.
The speed at which alt text is delivered to end users is provided on a best effort basis, and no rights can be derived from delivery speeds or performance metrics.
YOUR DECISION TO USE THE SERVICE IS ENTIRELY AT YOUR OWN RISK. SHOULD YOU FIND ANY ASPECT OF THE SERVICE OR THESE TERMS UNSATISFACTORY, YOUR EXCLUSIVE RECOURSE IS TO CEASE USING THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALTTAGGER B.V. WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, WARRANTY, TORT, PRODUCT LIABILITY, OR OTHER THEORY), EVEN IF ALTTAGGER B.V. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THESE LIABILITY LIMITATIONS EXTEND TO ALL FORMS OF HARM, INCLUDING BUT NOT LIMITED TO INABILITY TO ACCESS OR USE THE SERVICE, SERVICE DISRUPTIONS OR DELAYS, COMPROMISED DATA SECURITY, LOST BUSINESS OPPORTUNITIES, REPUTATIONAL DAMAGE, REVENUE REDUCTION, OR ANY OTHER TANGIBLE OR INTANGIBLE LOSSES CONNECTED WITH YOUR USE OF THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ALTTAGGER B.V. EXCEED THE GREATER OF USD $100.00 OR THE AMOUNT YOU PAID ALTTAGGER B.V. IN THE PAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION WILL NOT APPLY TO ANY WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR FRAUD OF ALTTAGGER B.V.
CERTAIN JURISDICTIONS RESTRICT THE EXCLUSION OR LIMITATION OF LIABILITY FOR PARTICULAR TYPES OF DAMAGES. IN REGIONS WHERE SUCH RESTRICTIONS APPLY, OUR LIABILITY WILL BE CONSTRAINED ONLY TO THE MAXIMUM DEGREE PERMITTED UNDER LOCAL LAW.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.
For users subject to the General Data Protection Regulation (GDPR) or similar data protection laws, Alttagger B.V. acts as a data processor with respect to any personal data processed through the Service. Your use of the Service may require entering into a separate Data Processing Agreement.
You acknowledge and agree that Alttagger B.V. may collect web traffic statistics from your website(s) solely for billing purposes.
User data is stored on servers located in the European Union, with the exception of email addresses and names, which may be processed by Amazon AWS and Postmark for email communications, and by Paddle for billing purposes.
You can terminate your account and subscription at any time by following the instructions on the Site. No refunds will be provided for the current billing period.
Alttagger B.V. reserves the right to suspend or terminate your access to the Service at any time for any reason, including but not limited to:
Alttagger B.V. also reserves the right to discontinue the Service entirely at any time without liability to you or any third party. In the event of such discontinuation, Alttagger B.V. will make commercially reasonable efforts, if feasible, to provide you with your generated alt text in a downloadable format, but makes no guarantees regarding such provision.
Upon termination or deletion of your account or removal of a domain from your account, all generated alt text associated with the account or domain will be permanently deleted and cannot be recovered. You acknowledge and agree that this loss is irreversible.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You agree to defend, indemnify, and hold harmless Alttagger B.V., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
Alttagger B.V. reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice. Alttagger B.V. shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
Alttagger B.V. reserves the right to modify these Terms at any time. If Alttagger B.V. makes changes to these Terms, we will provide notice of such changes by posting the revised Terms on the Site and updating the "Last Updated" date. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.
These Terms constitute the entire agreement between you and Alttagger B.V. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
If any provision of these Terms is held to be illegal, invalid, or unenforceable under any present or future law, such provision shall be fully severable, and the remaining provisions shall remain in full force and effect.
The failure of Alttagger B.V. to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Alttagger B.V.
Alttagger B.V. will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, internet service provider failures or delays, or denial-of-service attacks.
You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Alttagger B.V. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Alttagger B.V. may assign or transfer these Terms, at its sole discretion, without restriction.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the Netherlands. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of the Netherlands, and you consent to the personal jurisdiction of such courts.
These Terms are written in English. Any translation into other languages is provided for convenience only, and in the event of any conflict between the English version and any translation, the English version shall prevail.
